OPINION AND ORDER
REYNOLDS, District Judge.
Plaintiff, Allis-Chalmers Manufacturing Company (“Allis-Chalmers”), brings this action under § 16(b) of the Securities Exchange Act of 1934 (15 U.S.C. § 78p(b)) to recover “short-swing” profits allegedly made by the defendant, Gulf & Western Industries, Inc. (“Gulf & Western”), by a purchase and sale of Allis-Chalmers common stock.
