MEMORANDUM AND ORDER

MacLAUGHLIN, District Judge.

This matter comes before the Court on defendant L. A. “Vern” Donnay’s motions for a judgment notwithstanding the verdict, for a new trial, to vacate the order for judgment and judgment entered thereon or, in the alternative, for a remittitur of the damages. Plaintiff E. H. Boerth Company, a securities underwriter, brought this action against defendants in 1974, alleging that defendants’ course of conduct amounted to breach of contract, common law fraud, and a violation of SEC Rule 10b-5 and the parallel Minnesota provision, Minn.St. § 80A.01.…
