MEMORANDUM OPINION AND ORDER
ASPEN, Chief Judge.
Plaintiffs Roy, Marilyn, and Lillian Fug-man, and the Estate of Georgé Oskvarek, have brought suit against the defendants, ' Aprogenex, Inc., Joel Bresser, Donald Payne, and Luis Canterero, for securities fraud. 1 Aprogenex now moves to dismiss the Complaint pursuant to Rule 12(b)(6) of the Federal Rules of Civil Procedure. For the reasons set forth below, the motion is granted in part and denied in part.
