MEMORANDUM OPINION
SCHEINDLIN, District Judge.
I. INTRODUCTION
Plaintiff Continental Airlines, Inc. (“Continental”) sues Antonios Lelakis (“Lelakis”) to collect $10,735,329.02, plus interest, under a guaranty agreement entered into by the par ties in October 1994 as security for payment on a promissory note.. The underlying note was executed by Regency Holdings (Cayman) Inc. (“Regency Holdings”), the corporation of which Lelakis was Chairman of the Board of Directors at all times relevant to this proceeding.
