HOLLAND, Justice.
This is an appeal from a final judgment entered by the Court of Chancery after it granted a Rule 12(b)(6) motion to dismiss. The Complaint alleges that the plaintiff-appellant, Carlo Matulieh (“Matulieh”), is a former holder of Aegis common stock. Aegis is a Delaware corporation which provides multi-channel customer relationship management outsourcing services. Aegis is alleged to be directly and wholly owned by the defendant, World Focus, and indirectly by the defendant, Essar Investments Limited (“Essar”), which is alleged to control World Focus.
