OPINION

LUONGO, Chief Judge.

Plaintiffs in this action are minority shareholders in Penn Merchandising Corporation (“Old Penn”). Plaintiffs’ complaint alleges that various officers, directors and controlling shareholders of Old Penn violated federal securities laws in executing a plan to eliminate minority shareholders at an inadequate price. The complaint also charges violations of the Racketeer Influenced and Corrupt Organizations Act (RICO), 18 U.S.C. §§ 1961-1968, and of state law.
