Plaintiffs 380544 Canada, Inc., Wayne Sim, and Salvatore Clave (collectively, the “Plaintiffs”) brought this action against defendant Aspen Technology, Inc. (“Aspen”) and individual defendants Lisa Zap-pala, Lawrence Evans, and David McQuillin (collectively, the “Individual Defendants”), who are former high-ranking officers of Aspen, alleging securities fraud in violation of sections 10(b) and 20(a) of the Securities and Exchange Act of 1934 (the “Exchange Act”), as well as common law fraud.
