ENSLEN, District Judge.

Kellogg Company filed a suit in this Court against the First National Bank of Louisville in June of 1980. The Kellogg Company is seeking declaratory relief discharging it from its obligations under a loan guaranty agreement given to First National Bank in 1978. The agreement provides that Kellogg would personally guarantee payment to the Bank of a loan extended to Michigan Properties, a Connecticut limited partnership doing business in Michigan.
