Millsap instituted a shareholder’s derivative detion against the directors and officers of American Family Corporation. This appeal is from an order of the trial court granting defendants’ motion to dismiss and entering judgment of dismissal.
The complaint alleged that defendants breached their fiduciary duties by committing four specified acts of mismanagement of corporate assets for the benefit of the company’s chairman and chief executive officer, John B.
