The court has carefully reviewed Magistrate Judge Ashman’s Report and Recommendation (“R & R”). Finding Judge Ash-man’s analysis thorough and persuasive, the court adopts the R & R in its entirety. The Court grants in part and denies in part Viceroy’s Motion to Dismiss and Strike the AMC Defendant’s Cross-Claim by dismissing Counts II and IV of the cross-claim and striking all reference to bad faith in the remainder of the cross-claim.
