MEMORANDUM OPINION

Pending before the Court is defendants’ motion to dismiss Count IV of plaintiffs amended complaint. Upon consideration of the motion, the response and reply thereto, the entire record, and for the reasons explained below, defendants’ motion is GRANTED.

I. BACKGROUND
