OPINION

WOLIN, District Judge.

Before the Court is Riveredge Associates’ (“Riveredge’s”) motion to dismiss Metropolitan Life Insurance Co.’s (“Metropolitan’s”) counterclaim pursuant to Federal Rule of Civil Procedure 12(b)(6) for failure to state a claim on which relief can be granted, or in the alternative, for summary judgment pursuant to Federal Rule of Civil Procedure 56(c). For the following reasons, the Court will deny plaintiff’s motion. Also before the Court is Metropolitan’s motion to compel discovery and for sanctions.
