BACKGROUND
In 1989, the two appellees, Bernalyn and Nelia Gutierrez (hereinafter “Gutierrez”), filed a complaint in the state court of California against Romulo M. Molina (hereinafter “Molina”) and Stephen Hayes (hereinafter “Hayes”). The complaint alleged that Molina was employed by and an agent of Hayes, a licensed attorney. Gutierrez were injured in an auto accident and while in the home of the driver of the vehicle which injured them, they were approached by Molina to sign a fee agreement retaining Hayes to pursue a claim against the driver.
