Defendants American Telephone & Telegraph Company (“AT & T”), Robert E. Allen (Chairman and Chief Executive Officer of AT & T), and Morris Tanenbaum (Vice Chairman and Chief Financial Officer of AT & T), move, pursuant to Fed.R.Civ.P. 12(b)(6), to dismiss the Amended Class Action Complaint (“Amended Complaint”). 1 The Amended Complaint is based on the claim that (stated generally) defendants are “carrying out a scheme to defraud class members” — holders of AT & T “calling cards,” i.e., telephone credit cards — “by inducing them to use AT & T…
