These two actions are maintained under section 36(b) of the Investment Company Act of 1940 (“the ICA”), 15 U.S.C. § 80a-35(b) (“Section 36(b)”). Each action has been brought as a stockholder derivative action on behalf of Shearson Daily Dividend, Inc. (“the Fund”), an open-ended, no-*547load investment company of the type commonly known as a money-market fund.
