MEMORANDUM OF DECISION AND ORDER

ESCHBACH, District Judge.

The complaint in this case alleges a class action for damages against the defendant corporation for aiding, abetting, and assisting, by its failure to report improper activities of a brokerage firm, the alleged violation by the brokerage firm of Section 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78j (b), and of Rule 10b-5 of the Securities and Exchange Commission, 17 C.F.R. § 240.10b-5.
