Plaintiff-Appellant Industrial Risk Insurers (IRI) — the subrogee of non-party, amicus Silverstein Properties, Inc. (Silver-stein) — brought, in the United States District Court for the Southern District of New York, a claim of gross negligence against, inter alia, Defendants-Appellees Citigroup Inc. and Citigroup Global Market Holdings, Inc. (together, Citigroup). Upon reviewing the parties’ submissions, the district court dismissed IRI’s complaint pursuant to Rule 12(b)(6). See Indus. Risk Insurers v.
