MEMORANDUM OPINION AND ORDER

THIS MATTER comes before the Court on the Defendant’s Motion to Stay, or in the Alternative, to Transfer Venue Pursuant to 28 U.S.C. § 1404(a), or Dismiss Pursuant to Fed.R.Civ.P. 12(b)(6), filed February 15, 2008 (Doc. 5)(“Motion”). The Court held a hearing on May 2, 2008.
