OPINION AND ORDER

CONBOY, District Judge:

Plaintiffs, Hillel and Wendy Tobias, bring this action under Sections 12(2) and 17(a)(2) of the Securities Act of 1933 (the “1933 Act”), Section 10(b) of the Securities Exchange Act of 1934 (the “1934 Act”) and Rule 10b-5 promulgated thereunder, common law fraud theories and breach of fiduciary duty. This action arises out of plaintiffs’ purchase in June of 1986 of one unit of a limited partnership called Ajax Energy Partners (“Ajax”), a partnership formed to purchase, own and operate an integrated fuel delivery system.
