Code § 75-403 states in part: "(1) Two or more persons desiring to form a limited partnership shall: (a) Sign and swear to a certificate [contents stated], (b) File for record the certificate in the office of the clerk of the superior court of the county in which the principal place of business of the partnership shall be situated,” etc. This section is a part of the Uniform Limited Partnership Act, and is admittedly vague as to the time when the existence of the partnership commences.
