THIS MATTER is before the Court on Defendant National Rural Electric Coop*932erative Association’s (“NRECA”) Motion to Dismiss Count I of Plaintiffs Amended Complaint for Failure to State a Claim. (Doc. 5). This case arises out of NRECA’s alleged violations of the Employee Retirement Income Security Act of 1974 (“ERISA”), 29 U.S.C. § 1001, et. seq., (Count I), and the Family and Medical Leave Act of 1993 (“FMLA”), 2 U.S.C. § 1312, et. seq., (Count II).
