MEMORANDUM

Pending before the court is the defendants’ Motion to Dismiss (Docket No. 49), to which the plaintiff City of Goodlettsville 1 has responded (Docket No. 61), the defendants have replied (Docket No. 95), and the plaintiff has sur-replied (Docket No. 105). For the reasons discussed herein, the defendants’ motion will be denied.
BACKGROUND
