Plaintiff worked as a construction specialist for defendant, a utility cooperative incorporated in North Carolina, until he was discharged on 31 March 1997. Two weeks after his discharge, plaintiff applied for membership on defendant’s board of directors (“board”). Plaintiff subsequently received a letter dated 15 April 1997 from *356defendant’s chief executive officer denying his application for membership on the board.
