MEMORANDUM OPINION AND ORDER
MILTON I. SHADUR, Senior District Judge.
Sharankishor Desai (“Desai”), acting on behalf of himself and other similarly situated individuals (collectively “Plaintiffs”), has filed a three-count Amended Class Action Complaint (“Complaint”) that charges eleven individual defendants 1 with securities fraud. During the Class Period (April 30 through October 24, 2008) Plaintiffs were common stockholders of General Growth Properties, Inc. (“General Growth”), a publicly traded real estate in vestment company. All defendants were officers or directors of General Growth.
