The Interstate Commerce Commission (“Commission”) imposes various labor protective conditions when it approves, or exempts from prior approval, proposals by railroads to consolidate their operations. In this case, an arbitration panel resolved a dispute arising under such conditions, and the United Transportation Union (“UTU” or “the Union”) brought a suit to challenge the award under the Railway Labor Act (“RLA”). 1 The sole issue before us is whether the district court had subject matter jurisdiction…
