This opinion incorporates the Court’s findings of fact and conclusions of law, pursuant to Rule 52, Fed.R.Civ.P., following a two-day bench trial to determine liability for the purchase of 25,000 shares of the common stock of Keystone Medical Corporation (“Keystone”). The controversy arose due to a drop in the price of the stock from approximately $15 per share when ordered on April 29, 1985 to approximately $7 per share when payment was due.
