OPINION

Introduction
Defendants R. Bruce Reeves (“Reeves”), MPI Corp. (“MPI”), Hospitality Associates of Tappan Zee (“Hospitality”), and D.G. Management, Inc. (“DG”) have moved to dismiss Bamco 18’s (“Bamco”) complaint for lack of subject jurisdiction pursuant to Rule 12(b)(1), Fed.R.Civ.P., to dismiss plaintiff’s RICO and fraud claims for failure to state a claim pursuant to Rule 12(b)(6) Fed.
