ORDER

THRASH, District Judge.

This case is before the Court on Defendants’ Motion to Dismiss [12-11 and the Individual Defendants’ Motion to Dismiss for Lack of Personal Jurisdiction [13-1]. For the reasons set forth below, the Defendants’ Motion to Dismiss is granted as to the Plaintiffs federal securities law claims and denied as to the Plaintiffs’ state law claim for breach of fiduciary duty. The Individual Defendants’ Motion to Dismiss is denied.
