MEMORANDUM

PADOVA, District Judge.

This case arises out of the acquisition by Aetna, Inc. (“Aetna”) of U.S. Healthcare (“USHC”) in a transaction first announced on April 1, 1996, consummated on July 19, 1996, and valued at $8.9 billion. Before the Court are two Motions to Dismiss Plaintiffs 1 Consolidated and Amended Class Action Complaint (“Amended Complaint”), one filed by Defendants Aetna, Ronald E.
