Plaintiff Dan Hayes brought this action against defendants Arthur Olmstead, David Arbanas, and Olmstead & Associates, Inc. (O&A) for relief from alleged minority shareholder oppression. Plaintiff is a former employee, officer, director, and current shareholder of O&A, a successful food brokerage firm. Olmstead and Arbanas are directors and officers of O&A, and together, during the relevant time, held a majority block of its voting shares.
