This is a suit under ORS 57.595 by the owners of 49% of the stock in a “close corporation” to compel a dissolution of the corporation for alleged “illegal, oppressive and fraudulent” conduct by defendants Siler as directors of the corporation, and for “misapplication and waste” of its assets. ①
