MEMORANDUM DECISION AND ORDER
WINDER, District Judge.
The court heard argument on defendant Atlantic Richfield Company’s (“ARCO”) motion to dismiss or for summary judgment on May 12, 1989. Plaintiff, Sinclair Oil Corporation (“Sinclair”), was represented by Richard W. Giauque, Melvin Gold-stein, and Scott M. Lilja. Defendant, ARCO, was represented by Robert A. Peterson and David L.
