MEMORANDUM OPINION AND ORDER
KANE, District Judge.
This is a diversity action for various tort and contract damages resulting from the breach of a franchise agreement. Plaintiff Postal Instant Press (PIP), a California corporation, grants franchises to operate stores under the registered trademarks, service marks, and trade names of “PIP” and “Postal Instant Press.” In February 1976, PIP issued a franchise to Gerald F. and Beatrice Pitstick for PIP Store No. 317.
