This case is about certain modalities of accountability in a corporate business setting.

Petitioners are shareholders 1 of Laureate Education, Inc. (“Laureate”), a successful publicly-held Maryland corporation headquartered in Baltimore. Laureate’s primary business is licensing its educational technology overseas and acquiring management interests in foreign colleges and universities.
