I. INTRODUCTION

Timothy Casey and David Sinclair appeal the superior court's decision that Semeo En'ergy, Inc. did not breach the covenant of good faith and fair dealing when its counsel decided that their inclusion in an early retirement program would jeopardize the program's tax-exempt status under federal law. They argue that the superior court should have construed their severance contracts to provide them other benefits of the early retirement program that were not affected by federal law.
