MEMORANDUM OPINION AND ORDER
BABCOCK, District Judge.
Presently before me are cross-motions for partial summary judgment filed by defendants Lifeco Services Corporation and Amer-ican Express Company (collectively Lifeco), and plaintiff Sue R. Anderson (Anderson).
