The plaintiffs seek in this action of deceit to recover damages caused by alleged misrepresentations. The defendants are (1) Price, a registered engineer and a graduate of a technical institution; (2) Acme Electric Heating Company (Acme); and (3) Lincoln Park Corporation (Lincoln Park). The individual plaintiffs, Rice and Baldwin, were officers and directors of the plaintiff Baldwin-Rice Corporation (Baldwin-Rice) which they formed to conduct the distributorship described below.
