The plaintiff is an Iowa corporation and the defendant a New York corporation. The cause of action arose out of an alleged breach of a contract to exchange certain shares of corporate stock. The merits of the cause of action are not before us. Original notice was served upon the secretary of state. This was followed by a special appearance by the defendant, challenging the jurisdiction of the court to proceed under this notice.
