In this derivative action brought by stockholders of the defendant corporation, an accounting is sought from the individual defendants, as officers and directors, for losses arising from their alleged misconduct and the waste of corporate assets. In particular the cause of action is based oñ a stock sales contract whereby the promoter, one Rutledge, was paid a commission of thirty per cent for the sale of the capital stock.
