RANDALL, Circuit Judge:
Plaintiff-Appellant Long Island Trust Company (“Long Island”) brings this appeal from an adverse judgment in the court below in its suit against Defendant-Appellee Edward T. Dicker.1 Long Island seeks to enforce Dicker’s obligations under the terms of a guaranty agreement (the “Guaranty”) dated September 10, 1971, in which Dicker guaranteed all liabilities owed to Long Island by Gemstone Miners, Ltd.
