This action is maintained under the federal securities laws and principles of common law. Plaintiff E. F. Hutton & Co., Inc. (“Hutton”) seeks to recover damages arising from defendants’ alleged fraudulent trading of and manipulative practices in connection with certain securities of defendant Jupiter Development Corporation Limited (“Jupiter”).
