MEMORANDUM OPINION
COLLEEN KOLLAR KOTELLY, District Judge.
This matter is before the Court on defendants’ motion to dismiss. For the rea sons discussed below, the motion will be granted in part and denied in part without prejudice, and this action will be transferred to the United States District Court for the Western District of Texas.
I. BACKGROUND
