Harrington, Chancellor:

The demurrer raises two questions:(1) Whether the persons, who are not the record owners of corporate stock, but who are the real owners of the certificates, are “stockholders” within the meaning of Section 61 of the General Corporation Law, Rev. Code 1935, § 2093; and (2) whether, in any event, the complainants have complied with that section of the statute.

Section 61 provides:
