This is an action brought by the plaintiff, the Securities and Exchange Commission (“SEC”) alleging violations of the federal securities laws arising out of the purchase of Nalco Chemical Company (“Nalco”) common stock by several individuals and entities associated with Jose Luis Balleste-ros Franco (“Jose Ballesteros”), a now deceased member of Nalco’s Board of Directors.
