HALL, District Judge.

The plaintiffs in this case are three named individuals suing on behalf of themselves and on behalf of all others (about 400) similarly situated, as a class. It is alleged in the complaint that the plaintiffs and all members of the class are the stockholders and successors in interest to the stockholders of Food Products Corporation, a California corporation.
