YOUNG, District Judge.

The plaintiffs, Ann Winters (“Winters”) and Laborers’ International Union of North America National (Industrial) Pension Fund (“LIUNA”) (collectively, “Plaintiffs”), bring a shareholder’s derivative action for the benefit of Staples, Inc.
