Plaintiffs, minority stockholders and voting trust certificate holders, sue for a permanent injunction restraining defendant corporation, which operates the Roosevelt Hotel in New York City, from selling its business, property and assets *989to a wholly owned subsidiary of Hilton Hotels Corporation. Plaintiffs have moved for a temporary injunction. Defendant has moved to dismiss the complaint for legal insufficiency. Certain voting trust certificate holders have moved to intervene as parties plaintiff.
