-Plaintiff-appellee obtained a judgment in the court below amounting to $100,973.10 from defendants-appellants Linden Blue, James N. Blue and H. Gregory Austin. Several theories were advanced. Claims under § 12 of the Securities Act of 1933 (15 U.S.C. § 77a et seq.); the Securities and Exchange Act of 1934 (15 U.S.C. § 78a et seq.); and Rule 10b-5. Pendent claims under the Colorado Securities Act and other principles of Colorado law were also alleged. The controversy arose out of a joint venture in real estate. This property appreciated substantially in value.…
