OPINION
Blume, Chief Justice.
This action was commenced on February 23, 1946, by the plaintiffs Elbert A. Watson and Axel Gabrielson on behalf of themselves and others similarly situated against the City of Laramie, the Laramie Rivers Company and its five directors. The Laramie Rivers Company owns a controlling number of shares of stock in the Pioneer Canal Company. It has a board of five directors who are also elected and serve as five directors of the seven directors of the Pioneer Canal Company.
