STAPLETON, District Judge:

In this action, the plaintiff corporation seeks the return of 720 shares of its common stock, which were issued to the defendant, as an employee of the plaintiff, in connection with a Restricted Stock Plan. The plaintiff, a Delaware corporation with its principal place of business in Massachusetts, contends that under the provisions of the Plan, defendant was required to reconvey the stock upon termination of his employment, but that he has refused to do so.
